Commercial contracts, liability & insurance
Commercial contracts are used to lay down agreements with customers, suppliers, partners and other stakeholders. They are part and parcel of every entrepreneur’s life and are crucial to any enterprise.
Commercial contract law specialists
Commercial contracts have long since revealed all their secrets to the lawyers of BVDV. We feel it is crucial that agreements be laid down in clear and comprehensible language. That means drafting readable contracts with a logical structure, so there can be no doubt as to the agreements afterwards.
We are ready to assist, whether in regard to drafting general supply and purchase conditions, assessing a partnership agreement or litigating in regard to a distribution agreement.
Service Level Agreements
Quality is the single most vital aspect of any service or product. As such, it would be good to be able to fall back on a clear Service Level Agreement (SLA) that leaves no room for discussion should quality start to slip. We will draw up an SLA that contains clear agreements on quality, delivery times, lead time for complaints, internal controls and disputes. And if your partner has already drawn up an SLA and you would like to find out whether that agreement adequately safeguards your interests, then we can help identify potential risks and take charge of final negotiations on the SLA.
General terms and conditions
If you are seeing a sharp rise in customer numbers but don’t have the time to document all standard agreements time and again, then having general (supply and/or purchasing) terms and conditions may be the answer. Your company’s terms and conditions will allow you to include your standard terms on service provision, payments, delivery times, and (exclusion of) liability. These terms and conditions must subsequently be declared to be applicable to every agreement concluded with a customer. We would be happy to draw up your specific terms and conditions, ensuring you’re always dealing with a clear agreement.
Termination a long-term partnership
Say your company has been purchasing materials on a large scale from a fixed supplier for years. However, to due a steady decline in quality you have decided bid your trusted supplier farewell. Will you be able to select a new supplier right away or are you obliged to observe a bridging period? Are you liable for any damage suffered by the supplier as a result of my termination of business, or is it the supplier who needs to compensate you? We have the answers to all of those questions.
